All VDR’s are not created equal but they are close enough for most people who buy them.

The core function of every data room is displaying folders with files and there is really no creative way of doing that.  As a result competing VDR’s are very similar making it easy for buyers to do an apples to apples comparison of the different solutions in the market.

The challenge is that many VDR sales reps are highly trained to make their respective products sound different/better than their competitors in order to justify asking for wildly higher prices.

I frequently advise my clients that based on their requirements switching from one vendor to another would be painless and that is a key point of leverage when negotiating price.

I estimate 80% of the market just needs to share files with some permissioning, security, and access reporting capabilities.  The other 20% needs non-core premium features where theoretically switching vendors would require a bit more training.

Either way, it is wasteful to accept a quote from a vendor without some minimal effort to improve your position.
